Please read these terms carefully before using TicketWave.

Welcome to TicketWave. These Terms & Conditions govern your use of our platform, including ticket purchases and all related services. By creating an account or making a purchase, you agree to these terms.


1. Acceptance of Terms

By accessing or using TicketWave (“the Platform”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree with any part of these Terms, you must not use the Platform.

These Terms constitute a legally binding agreement between you (“User” or “you”) and Ticket Wave Enterprise (“we,” “us,” or “our”). We reserve the right to update these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Platform after changes constitutes acceptance of the revised Terms.


2. Account Registration

To purchase tickets or access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.


3. Authentication

TicketWave uses one-time password (OTP) authentication delivered via email. When you sign in or perform a sensitive action, we email you a single-use code that you enter to verify your identity.

We do not store passwords - there are no passwords to steal. OTP codes expire automatically after 10 minutes and can only be used once.

Rate limits apply to OTP requests to prevent abuse. Repeated failed attempts may temporarily lock further requests. If you do not receive a code, check your spam folder and ensure your email address is correct.


4. Ticket Purchases

All ticket purchases on TicketWave are subject to availability. Prices are displayed in the currency specified on the event page and include applicable service fees unless otherwise stated. The total amount charged will be shown before payment confirmation.

Upon successful payment, you will receive a digital ticket with a unique QR code. This QR code is your proof of purchase and must be presented for entry. You are responsible for safeguarding your QR code - sharing it may result in unauthorized use.

TicketWave acts as a marketplace platform connecting event organizers with ticket buyers. The terms of admission are set by the event organizer. We do not guarantee entry to any event; admission decisions are at the sole discretion of the organizer and venue.


5. Pricing & Fees

Ticket prices are set by event organizers. TicketWave charges a service fee on each transaction, which is displayed before payment. The service fee covers platform costs including payment processing, customer support, and fraud prevention.

All prices are inclusive of applicable taxes unless otherwise indicated. You authorize us to charge the total amount (ticket price + service fee + any applicable taxes) to your selected payment method upon checkout.


6. Payment Processing

Payments on TicketWave are processed by Paystack, a licensed and regulated payment processor. By making a purchase, you agree to Paystack’s terms of service and privacy policy.

For paid events, event organizers are set up as Paystack subaccounts linked to their own bank accounts. At checkout, Paystack performs a split settlement: the organizer’s share of the payment is transferred directly to the organizer’s subaccount, and TicketWave’s service fee is transferred to TicketWave’s Paystack account. TicketWave never receives, holds, or controls the organizer’s proceeds.

Settlement timing - when funds reach the organizer’s bank account - is controlled by Paystack and the organizer’s bank, not by TicketWave. We have no ability to accelerate or delay Paystack settlements.

Free events do not involve Paystack and no payment processing occurs. No payment information is collected or transmitted for free ticket registrations.

Your full payment card details never reach TicketWave’s servers. Card information is collected and tokenized directly by Paystack on its secure payment pages. If a payment is declined, your order will not be completed. We are not responsible for bank declines, insufficient funds, or other payment failures beyond our control.


7. Organizer Settlement Accounts

Before selling paid tickets, an organizer must create a settlement account, which is a Paystack subaccount linked to the organizer’s bank account. Paid events cannot be published until an active settlement account exists.

Bank details you provide (business name, bank code, and account number) are transmitted directly to Paystack over an encrypted connection. TicketWave does not store your full bank details - only the last four digits of the account number are retained for display and verification purposes.

The Paystack subaccount code returned after setup is encrypted at rest in our database. Any change to your settlement details requires OTP verification to confirm you authorized the change.

Settlement accounts can be disabled, but they cannot be deleted. This preserves a complete audit trail of all settlement configurations. Every change to a settlement account - creation, update, disablement, or reactivation - is recorded in an immutable audit log.


8. Refunds & Cancellations

Our refund policy is detailed on our Refund Policy page. In summary:

  • Organizer Cancellation: If an event is cancelled by the organizer, you are entitled to a full refund of the total amount paid, including service fees. TicketWave forfeits its service fee on refunded orders.
  • Event Postponement: Tickets remain valid for the rescheduled date. If you cannot attend the rescheduled date, you may request a refund within 14 days of the postponement announcement. You are entitled to a full refund of the total amount paid, including service fees. TicketWave forfeits its service fee on refunded orders.
  • User-Initiated Refunds: Refund requests initiated by you must be submitted at least 48 hours before the event start time. Refund eligibility is at the organizer’s discretion. When a refund is approved, you are entitled to a full refund of the total amount paid, including service fees. TicketWave forfeits its service fee on refunded orders.

9. User Conduct

You agree to use the Platform only for lawful purposes. Prohibited activities include, but are not limited to:

  • Purchasing tickets with the intent to resell at artificially inflated prices (scalping)
  • Using automated tools, bots, or scripts to purchase tickets
  • Creating multiple accounts to circumvent purchase limits
  • Engaging in fraudulent chargebacks or payment disputes
  • Harassing, threatening, or abusing other users or support staff
  • Attempting to disrupt Platform operations through hacking, DDoS, or other attacks

Violation of these rules may result in immediate account suspension, forfeiture of tickets, and legal action where applicable.


10. Organizer Obligations

If you publish events on TicketWave, you are an “Organizer” and accept the following obligations in addition to the rest of these Terms:

  • You must provide accurate, current bank and business details for Paystack subaccount setup. Incorrect details may delay or prevent settlement of your proceeds.
  • You cannot publish a paid event without an active settlement account. Free events do not require a settlement account.
  • You are solely responsible for the management of your events, including admission decisions, attendee communication, refunds you choose to approve, and the overall quality and conduct of your event.
  • You must comply with Paystack’s terms of service and complete any Know Your Customer (KYC) requirements Paystack imposes for your subaccount.

TicketWave is a marketplace platform and is not responsible for organizer conduct, event quality, or the actions and omissions of organizers toward their attendees.


11. Intellectual Property

The TicketWave name, logo, design, and all platform content (excluding user-generated content and event listings) are the intellectual property of Ticket Wave Enterprise. You may not reproduce, distribute, modify, or create derivative works without our express written consent.

Event names, logos, and branding displayed on the Platform are the property of their respective organizers and are used with permission.


12. Limitation of Liability

To the fullest extent permitted by law, Ticket Wave Enterprise, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to:

  • Your use or inability to use the Platform
  • Any event cancellation, postponement, or change
  • Loss of tickets, QR codes, or account access
  • Unauthorized access to your account or data
  • Any conduct or content of third parties, including event organizers

Our total liability for any claim arising from these Terms or your use of the Platform is limited to the amount you paid for the ticket(s) in question, or GH₵100.00, whichever is less.


13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be resolved exclusively in the courts of Ghana.

You agree to submit to the personal jurisdiction of such courts and waive any objection to venue in these courts.


14. Age Restriction

You must be at least 18 years of age to purchase tickets or create an account on the Platform. By registering an account or completing a purchase, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into a binding agreement under the laws of the Republic of Ghana.

Ticket Wave Enterprise reserves the right to request proof of age at any time. Accounts found to belong to minors will be terminated immediately, and any associated purchases may be voided at our discretion.


15. Indemnification

You agree to indemnify, defend, and hold harmless Ticket Wave Enterprise, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or in any way connected with:

  • Your access to or use of the Platform
  • Your violation of these Terms or any applicable law
  • Your violation of any third-party rights, including intellectual property rights
  • Any content you submit, post, or transmit through the Platform
  • Any fraudulent, negligent, or wrongful acts or omissions committed by you

Ticket Wave Enterprise reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.


16. Warranty Disclaimer

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, Ticket Wave Enterprise disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Platform will be uninterrupted, secure, error-free, or free of harmful components, or that any defects will be corrected. You use the Platform at your own risk, and you are solely responsible for any damage to your device or loss of data that results from such use.

No advice or information, whether oral or written, obtained by you from Ticket Wave Enterprise or through the Platform shall create any warranty not expressly stated in these Terms.


17. Force Majeure

Ticket Wave Enterprise shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent that such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, floods, fires, earthquakes, epidemics or pandemics, war, terrorism, civil unrest, government actions, labor disputes, shortages of transportation or utilities, failures of the internet or telecommunications infrastructure, or failures of third-party service providers (including payment processors and hosting providers).

In the event of a force majeure occurrence, Ticket Wave Enterprise will use commercially reasonable efforts to resume performance as soon as reasonably practicable. The obligations and rights of the parties under this clause shall survive the termination or expiration of these Terms.


18. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be severed from these Terms and the remaining provisions shall continue in full force and effect as if the unenforceable provision had never been included.

The parties further agree that in the event any provision is held to be overly broad in scope or duration, such provision shall be modified by the court to the minimum extent necessary to render it enforceable, and the remainder of these Terms shall remain unaffected.


19. Entire Agreement

These Terms, together with the Privacy Policy and the Refund Policy, constitute the entire agreement between you and Ticket Wave Enterprise with respect to your use of the Platform and supersede all prior or contemporaneous understandings, communications, and agreements, whether written or oral, regarding such subject matter.

Any reference to or reliance on any prior or contemporaneous communication, proposal, or representation not expressly set forth in these Terms is hereby excluded. In the event of any conflict between these Terms and another policy, these Terms shall control unless otherwise expressly stated.


20. Assignment

You may not assign, transfer, delegate, or sublicense these Terms or any of your rights or obligations hereunder, in whole or in part, without the prior written consent of Ticket Wave Enterprise. Any attempted assignment in violation of this clause shall be null and void and of no legal effect.

Ticket Wave Enterprise may freely assign, transfer, or delegate these Terms or any of its rights or obligations, in whole or in part, in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, or by operation of law. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.


21. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Material changes will be communicated via email or through a notice on the Platform.

Your continued use of the Platform after changes take effect constitutes your acceptance of the new Terms. If you do not agree to the changes, you should stop using the Platform and cancel any pending transactions.
